These Terms and Conditions ("Terms") govern your access to and use of theguardbase.com and the related services offered by The Guard Base ("The Guard Base," "we," "us," or "our").

The website, directory, accounts, listings, Quote Lists, claim-listing tools, advertisements, subscriptions, communications, and related features are collectively referred to as the "Services."

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

You must be at least 18 years old to create a business account, claim or manage a listing, purchase advertising or subscriptions, submit information on behalf of a company, or enter into another agreement through the Services.

When acting on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Nature of the Directory

The Guard Base provides an independent directory and technology platform that helps users locate and compare security companies.

Unless expressly stated otherwise, The Guard Base is not a security company, does not employ or dispatch security guards, does not provide security, patrol, investigative, alarm, or protective services, is not an agent or broker for listed companies, does not enter into security-service contracts on behalf of users or companies, does not control how listed companies perform their services, and is not responsible for any agreement made between a user and a listed company.

Any security-service agreement is solely between the customer and the selected security company.

3. No Government Affiliation

The Guard Base is an independent private website.

We are not affiliated with, endorsed by, sponsored by, or operated by the California Department of Consumer Affairs, the Bureau of Security and Investigative Services, or any other government agency or licensing authority.

Government and licensing information displayed through the Services is provided for general informational purposes only.

Users should independently verify current license status, disciplinary information, insurance, qualifications, and legal authority through the appropriate official agency before hiring a security company.

4. Directory Information

Company listings may be assembled from public government and licensing records, company websites, public business profiles, third-party data sources, company representatives, user submissions, and other publicly available information.

We attempt to provide useful information but do not guarantee that any listing is complete, current, accurate, or error-free.

A license may be suspended, expired, restricted, renewed, or otherwise changed after our information was collected. Website content, phone numbers, addresses, services, ownership, and service areas may also change without notice.

You are responsible for independently verifying information before relying on it.

5. Search Results and Ranking

Search results may be based on location, service category, search relevance, listing completeness, license data, website-derived information, user-selected filters, availability, sponsorship or promotional status, and other operational or quality factors.

The position of a company in search results does not guarantee its quality, availability, suitability, licensing status, or performance.

We may change search, ranking, recommendation, or eligibility criteria at any time.

6. Sponsored and Featured Listings

Some companies may pay for featured placement, sponsored listings, advertising, enhanced profiles, subscription services, or promotional visibility.

Paid content will be identified using labels such as "Sponsored," "Featured," "Advertisement," or a similar disclosure where appropriate.

Payment does not constitute a guarantee, certification, recommendation, or endorsement of a company's services.

7. Accounts

Some features require an account.

You agree to provide accurate and current information, maintain the confidentiality of your password, restrict unauthorized access to your account, promptly update changed information, notify us of suspected unauthorized use, and accept responsibility for activity performed through your account.

You may not impersonate another person or company, falsely claim a listing, or create an account using information you are not authorized to use.

We may suspend or terminate an account when we reasonably believe it is fraudulent, unauthorized, misleading, insecure, unlawful, or in violation of these Terms.

8. Claiming a Company Listing

To claim a listing, you must be an owner, officer, employee, authorized representative, or agent with authority to manage the company's information.

We may request verification such as a company-domain email address, license documentation, government-issued records, business-registration information, telephone verification, written authorization, or other reasonable evidence.

Claiming a listing does not establish ownership over public records, factual business information, or The Guard Base's directory page.

We may approve, reject, revoke, or request additional verification for a listing claim.

9. Company Representative Responsibilities

A company representative who submits or edits listing information represents and warrants that the information is accurate and not misleading, the representative has authority to submit it, the company is legally authorized to offer the stated services, all required licenses and permits are current, the listing does not infringe another party's rights, service descriptions and advertising claims are truthful, uploaded materials may legally be used, and the company will promptly correct information that becomes inaccurate.

A company may not claim to be verified, approved, certified, recommended, or endorsed by The Guard Base unless we have expressly authorized that claim in writing.

10. Quote Lists and Customer Inquiries

A Quote List allows users to organize companies and may allow users to send inquiries to selected companies.

Adding a company to a Quote List does not create a contract, reserve services, guarantee availability, notify the company unless the user completes the required submission process, guarantee that a company will respond, or guarantee any quoted price or service level.

Users are responsible for providing accurate request information and evaluating each company before entering into an agreement.

The Guard Base is not a party to communications, negotiations, estimates, proposals, payments, or contracts between users and security companies.

11. User Content

"User Content" includes information, text, images, logos, descriptions, messages, feedback, and other material submitted through the Services.

You retain ownership of rights you hold in your User Content.

By submitting User Content, you grant The Guard Base a nonexclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, modify for formatting, display, distribute, and use that content as reasonably necessary to operate the Services, display and promote listings, process requests, improve the directory, market the Services, and enforce these Terms.

You represent that you have all rights necessary to provide this license.

We may remove or restrict User Content that we believe is inaccurate, unlawful, misleading, infringing, harmful, irrelevant, or inconsistent with these Terms.

12. Reviews and Testimonials

If review functionality is made available, users must submit only genuine opinions based on actual experiences.

Users and companies may not create fake reviews, pay for reviews that are required to express a particular sentiment, review their own company without clearly disclosing the relationship, submit reviews on behalf of nonexistent individuals, threaten or improperly incentivize users to remove negative reviews, use artificial intelligence or another method to fabricate experiences, misrepresent the source of a review, or manipulate ratings or review counts.

We may moderate, reject, label, restrict, or remove reviews that violate these Terms.

We do not guarantee that every review will be accurate. Reviews represent the reviewer's opinion, not The Guard Base's opinion.

13. Acceptable Use

You may not use the Services to violate a law or regulation, falsely claim or impersonate a company, provide fraudulent or misleading information, infringe rights, upload malware, attempt unauthorized access, interfere with security or operation, harass or exploit another person, send spam, collect personal information without authorization, scrape or extract data except as expressly permitted, reproduce substantial portions of the directory, create a competing database or service, manipulate rankings or leads, or use the Services for surveillance, unlawful discrimination, or illegal activity.

We may investigate suspected violations and cooperate with lawful investigations.

14. Automated Access and Data Extraction

You may not use bots, crawlers, scrapers, browser automation, artificial-intelligence agents, or other automated means to access or extract data from the Services without our prior written permission.

Search-engine indexing performed in accordance with our robots.txt instructions is permitted.

We may impose technical limitations, block traffic, revoke permission, or pursue available remedies against unauthorized automated access.

15. Intellectual Property

The Services and their original content, including design, software, source code, branding, page layouts, graphics, icons, compilations, selection, organization, and directory presentation, are owned by or licensed to The Guard Base and are protected by intellectual-property laws.

"The Guard Base," our logos, and related branding may not be used without written permission.

These Terms do not transfer ownership of any intellectual property to you.

You may use the Services only for lawful personal or internal business purposes in accordance with these Terms.

16. Copyright and Trademark Complaints

To report content that you believe infringes your copyright or trademark, send a written notice through our Contact page at Contact.

Include your name and contact information, identification of the protected work or mark, identification and location of the disputed material, an explanation of your rights, a good-faith statement that the disputed use is unauthorized, a statement that the information in your notice is accurate, and your physical or electronic signature.

We may remove content or contact the submitting user while investigating.

17. Third-Party Services and Links

The Services may include links to company websites, government databases, maps, ratings, payment services, and other third-party resources.

We do not control or guarantee third-party content, security, availability, accuracy, products or services, privacy practices, or contract terms.

Accessing a third-party service is at your own risk and subject to that party's terms.

18. Fees, Subscriptions, and Advertising

Certain Services may require payment.

Before purchase, we will display the applicable price, billing interval, and material conditions.

Unless otherwise stated, fees are quoted in U.S. dollars, taxes may be added where required, you authorize the applicable payment processor to charge your selected payment method, you must maintain accurate billing information, and fees already earned are nonrefundable except where required by law or expressly stated in a written refund policy.

Recurring subscriptions

When a service renews automatically, the checkout page will disclose the renewal terms before purchase.

You may cancel through the account dashboard or by contacting us through the Contact page at Contact. Cancellation generally prevents future renewals but does not retroactively refund the current billing period unless required by law.

Detailed pricing and cancellation terms presented at checkout are incorporated into these Terms.

19. Changes to the Services

We may add, modify, suspend, or discontinue any part of the Services.

We do not guarantee that every feature will remain available, every company will remain listed, listings will appear in a particular position, the Services will operate without interruption, or data will always be preserved.

Where reasonably practical, we may provide notice of material changes affecting paid services.

20. Suspension and Termination

We may suspend or terminate access when these Terms are violated, information is fraudulent or misleading, a listing claim is unauthorized, payment is overdue or disputed, use creates security/legal/reputational risk, we are required to do so by law, or we discontinue the relevant Services.

Upon termination, provisions that by their nature should survive will remain effective, including intellectual-property, disclaimer, limitation-of-liability, indemnity, and dispute provisions.

21. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

THE GUARD BASE DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

WE DO NOT WARRANT THAT DIRECTORY INFORMATION IS COMPLETE OR CURRENT, A COMPANY IS SUITABLE FOR A PARTICULAR PURPOSE, A COMPANY WILL RESPOND TO AN INQUIRY, A COMPANY WILL PERFORM SERVICES SAFELY OR SATISFACTORILY, A COMPANY'S LICENSE OR INSURANCE HAS BEEN INDEPENDENTLY VERIFIED, OR THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE GUARD BASE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOST DATA, REPUTATIONAL HARM, PROPERTY DAMAGE, PERSONAL INJURY ARISING FROM A THIRD PARTY'S SERVICES, OR DAMAGES ARISING FROM A USER'S OR COMPANY'S CONDUCT.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO THE GUARD BASE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

23. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless The Guard Base and its owners, officers, employees, contractors, affiliates, and licensors from claims, damages, losses, liabilities, judgments, costs, and reasonable attorneys' fees arising from your use of the Services, User Content, violation of these Terms, violation of law or third-party rights, unauthorized or misleading listing claims, services you request/advertise/offer/perform, or disputes between you and another user or listed company.

We may assume control of the defense of a matter subject to indemnification, and you agree to reasonably cooperate.

24. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Before filing a legal claim, the parties agree to make a good-faith effort to resolve the dispute informally by providing written notice and allowing 30 days for a response.

Unless applicable law requires otherwise, any legal proceeding arising from these Terms or the Services must be brought in the state or federal courts located in Los Angeles County, California, and each party consents to their jurisdiction.

25. Electronic Communications

You consent to receive agreements, notices, disclosures, transaction records, and other communications electronically.

Electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by law.

You are responsible for maintaining a current email address associated with your account.

26. Changes to These Terms

We may update these Terms periodically.

The revised Terms will be posted with a new "Last updated" date. Material changes may also be communicated through the Services or by email.

Changes will apply prospectively unless otherwise stated. Continuing to use the Services after revised Terms become effective constitutes acceptance of those Terms.

27. General Provisions

If any part of these Terms is found unenforceable, the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver.

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or other business transfer.

These Terms, the Privacy Policy, checkout disclosures, and any additional terms presented for a particular service constitute the entire agreement between you and The Guard Base regarding the Services.

Section headings are provided for convenience and do not limit the meaning of any provision.
